| Major Deliverable: Subject to the availability of funds, the terms and conditions established by this Contract, and the billing procedures of DFS, DFS agrees to fund the CCOC for services, 1/2th of its annually authorized sums by the 1st day of each month, commencing October 1, 2013, and continuing throughout the term of this Contract ending September 30, 2014. July 1, 2013 until September 30, 2013, the DFS agrees to fund the CCOC 1/3 each by July 1, August 1, and September 1, 2013, of the budgeted revenue to fund the CCOC's contract pursuant to Section 28.35(4), Florida Statutes, as amended
The total quarterly amount of $405,412.00 to be paid at the rate of $135,137.34 per month. |

| Performance Metrics: CCOC shall comply with all federal, state and local laws and regulations, including, but not limited to, nondiscrimination, wages, social security, worker's compensation, licenses and registration requirements. |
| Financial Consequences: The parties acknowledge that DFS's performance and obligation to fund this Contract is contingent upon an annual appropriation or authorization by the Legislature. The parties further acknowledge that in the event that insufficient fee collections occur, as more particularly described in Paragraph l.b. above, DFS will not make any payment due under this Contract until funds sufficient to cover the disbursement have been collected and deposited in the Administrative Trust Fund within the Department of Financial Services. |

| Major Deliverable: The parties acknowledge that the funding source for this Contract is the proceeds of fees collected by Clerks of Court pursuant to section 28.2401(3), Section 28.241(l)(a), and Section 34.04l(l)(b), Florida Statutes. The parties further acknowledge that any shortfalls in collections will reduce funds available for the purpose of payments to the CCOC under this Contract. |

| Major Deliverable: The CCOC shall perform its duties and responsibilities under Section 28.35, Florida Statutes,
as amended. The CCOC shall be solely responsible and liable for the payment of all FICA/Social Security and other Federal tax obligations accruing on account of, or resulting from, activities undertaken by the CCOC in connection with this Contract.
