Major Deliverable: The PROVIDER agrees to provide professional legal services to the OFFICE for matters related to the representation of the OFFICE and its employees in the performance of their official duties and based on the availability of the PROVIDER. Services to be rendered may include, but are not limited to: a. review and analysis of OFFICE legal files, data, documents and other materials concerning legal, administrative law, or insurance-related matters related to the signing of the settlement agreement between the Office of insurance Regulation and Centene; b. advising the OFFICE on a recommended legal course of action; c. attendance and participation in meetings, conference calls, inspections or the like and reporting on the status of the legal matters. d. preparation and filing of pleadings, motions, or briefs, initiation and conduct of discovery, as required; and e. representing the OFFICE and its employees in any related litigation or appeal. Non-routine office overhead expenses such as long-distance phone calls, long distance facsimile transmissions, long distance courier services, bulk mailings, bulk third pai1y copying, blueprints, x-rays, photographs and computer-assisted legal research services must be justified to the OFFICE and shall be reimbursed based on documented third party vendor charges.
