| Major Deliverable: Provide legal counsel and representation to the Agency for Health Care Administration (“Agency”) in the matter of Zen Group, Inc. and Carlos Otamendi vs. State of Florida, Agency for Health Care Administration et al. 1.The Department of Financial Services (“DFS”) will pay $100.00 per hour for attorney fees and $40.00 per hour for paralegal and law clerk fees with a daily cap of $900.00 under a separate contract with the VENDOR (“DFS contract”). The Agency shall be billed the difference in accordance with Exhibit A, Fee Schedule. Fees shall not exceed $70,000.00 and fees in excess of such amount shall not be compensable. The Vendor shall notify the Agency, in writing, when fees for billable services reach $55,000.00. Said notification shall be made as soon as is practicable and prior to the next monthly invoice. Failure to comply with these provisions will result in non-payment. Billable hours shall be measured in six (6) minute increments. Compensation of attorney hours will be for actual time spent providing attorney services to the Agency at the hourly rates specified in Exhibit A, Fee Schedule. Premium rates will not be paid for overtime work. Attorney time while traveling will be compensated at one hundred percent (100%) of the hourly rates reflected in Exhibit A, Fee Schedule. A.HOURLY BILLING SCHEDULE Vendor's attorney and paralegal staff to be used under this Contract include the following individuals at the hourly rates indicated: NAME HOURLY RATE 1.Chris Lunny, Shareholder $325.00 2.Tom Crabb, Shareholder $325.00 3.Laura Dennis, Senior Associate $260.00 4.Junior Associates $220.00 5.Paralegals and Law Clerks $100.00 The above rates may be adjusted if both Parties agree and shall be documented in writing by amendment to this Contract. Additional Shareholders and Senior Associates may be added but must not exceed rates listed above. |

| Major Deliverable: Provide legal counsel and representation to the Agency for Health Care Administration (“Agency”) in the matter of Zen Group, Inc. and Carlos Otamendi vs. State of Florida, Agency for Health Care Administration et al. 1.The Agency will pay reasonable costs not paid by DFS under the DFS contract. Reimbursement of costs for such items as exhibits, transcripts, travel and witness fees requires prior written authorization by the Agency and shall be reimbursed based upon documented third party vendor charges. The Agency shall not pay for firm surcharges added to third party vendor charges. Reimbursable costs shall not exceed $10,000.00. The Vendor shall notify the Agency in writing when costs reach $5,000.00. Said notification shall be made as soon as is practicable and prior to the next monthly invoice. |
